1. Eligibility

You may use Supaku Account only if:

• You are at least 13 years old, and
• You have the legal power to enter into a binding contract with Supaku, and
• You are not prohibited from using Supaku Account under applicable law.

If you create or use a Supaku Account on behalf of a company, organization, or other entity, then:

• "You" includes both you and that entity, and
• You represent that you are authorized to bind that entity to these Terms.

2. Supaku Account and the Supaku Services

Supaku Account provides identity and sign in functionality, including:

• Creating and managing a single Supaku login,
• Authenticating you when you access Supaku Services, and
• Sharing basic account information with Supaku Services, such as your user ID, name, and email address.

Supaku Account does not itself provide the underlying content or functionality of other Supaku Services. Those services may be subject to their own terms, policies, pricing, and usage limits.

If there is any conflict between these Terms and the terms of a specific Supaku Service, the terms of that Supaku Service will govern your use of that service.

3. Your account responsibilities

You are responsible for all activity that occurs under your Supaku Account.

You agree to:

• Provide accurate and up to date information when you create or update your account,
• Keep your login credentials confidential,
• Use a strong and unique password, and
• Notify us promptly at security@supaku.com if you suspect unauthorized access or any other security issue involving your account.

Supaku is not liable for any loss or damage arising from your failure to safeguard your account credentials.

4. Organizational accounts

If your Supaku Account is provisioned or linked by an organization (such as your employer) that signs an agreement with Supaku:

• That organization may control or administer your account in connection with its use of the Supaku Services,
• The organization may access certain information about your account and use of the Supaku Services under its agreement with Supaku, and
• Your use of Supaku Account may be subject to that organization's policies, which may differ from these Terms.

In the event of a conflict between these Terms and an agreement between Supaku and an organization, that agreement will govern to the extent of the conflict for accounts and use under that agreement.

5. Acceptable use

You agree that you will not, and will not permit others to:

• Use Supaku Account in any way that violates any applicable law, regulation, or third party right,
• Attempt to gain unauthorized access to any system, network, or data,
• Interfere with or disrupt the operation of Supaku Account or the Supaku Services,
• Use automated means to access Supaku Account in a manner that exceeds reasonable request rates or circumvents normal access methods,
• Reverse engineer, decompile, or attempt to derive the source code of Supaku Account, except to the extent such restrictions are prohibited by law,
• Use Supaku Account to create or manage accounts in bulk for fraudulent or abusive purposes.

Supaku may suspend or terminate your access to Supaku Account if we reasonably believe you have violated these Terms, our policies, or applicable law.

6. Third party services

Supaku Account may allow you to sign in using credentials from, or link your account to, third party identity providers or services.

If you choose to use or connect any third party service:

• You authorize Supaku to receive information from and share information with that service as described during the connection process and in our Privacy Policy.
• Supaku is not responsible for any third party services or their terms, policies, or actions.

Your use of any third party service is solely between you and that third party.

7. Privacy

Your use of Supaku Account is subject to the Supaku Account Privacy Policy, which explains how we collect, use, and share information related to Supaku Account.

By using Supaku Account, you acknowledge that we will handle information as described in that policy.

8. Ownership and license

Supaku and its licensors own all right, title, and interest in and to Supaku Account and the Supaku Services, including all associated intellectual property rights.

Subject to your compliance with these Terms, Supaku grants you a limited, non exclusive, non transferable, revocable license to access and use Supaku Account solely to sign in to and manage your access to the Supaku Services.

You do not acquire any ownership interest in Supaku Account or the Supaku Services under these Terms.

9. Feedback

If you send us comments, suggestions, or other feedback about Supaku Account or the Supaku Services ("Feedback"), you agree that Supaku may use the Feedback for any purpose without restriction or obligation to you, including to develop and improve our products and services.

10. Suspension and termination

You may stop using Supaku Account at any time. You may be able to close your account through account settings or by contacting us.

We may suspend or terminate your Supaku Account or your access to Supaku Account if:

• You materially or repeatedly breach these Terms or applicable policies,
• We are required to do so by law or court order, or
• We reasonably believe your use of Supaku Account creates risk or harm to other users, Supaku, or the public.

We will attempt to give you advance notice where reasonably possible, but we may suspend or terminate immediately where we believe that is necessary to protect the security, integrity, or operation of Supaku Account or the Supaku Services.

On termination of your account, your right to use Supaku Account will immediately cease. Some obligations, such as those regarding ownership, disclaimers, limitation of liability, and indemnification, will survive termination.

11. Disclaimers

Supaku Account and all related services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.

To the fullest extent permitted by law, Supaku disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non infringement, and any warranties arising out of course of dealing or usage of trade.

Supaku does not guarantee that Supaku Account or the Supaku Services will be uninterrupted, secure, or free from errors, viruses, or other harmful components.

12. Limitation of liability

To the fullest extent permitted by law:

• Supaku will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of or inability to use Supaku Account.
• Supaku's total aggregate liability for all claims arising out of or relating to Supaku Account or these Terms will not exceed the greater of (a) the total amount you paid to Supaku specifically for Supaku Account during the twelve months before the event giving rise to the claim, or (b) one hundred United States dollars (USD 100).

The limitations in this section apply to any theory of liability, whether based on warranty, contract, statute, tort, or otherwise, and even if Supaku has been advised of the possibility of such damages, and even if any remedy set forth in these Terms is found to have failed its essential purpose.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

13. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Supaku and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to:

• Your use of Supaku Account,
• Your violation of these Terms, or
• Your violation of any applicable law or third party right.

Supaku may assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

14. Governing law and venue

These Terms and any dispute arising out of or relating to Supaku Account are governed by the laws of the State of New York and the United States, without regard to conflict of laws rules.

You and Supaku agree that the state and federal courts located in New York County, New York will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or Supaku Account, and you consent to the personal jurisdiction and venue of those courts.

15. Changes to Supaku Account and these Terms

We may modify or discontinue all or part of Supaku Account at any time, for any reason, subject to applicable law.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. If we make material changes, we will provide additional notice where required, which may include posting a notice in Supaku Account or sending you an email.

Your continued use of Supaku Account after the updated Terms become effective means that you accept the updated Terms. If you do not agree, you must stop using Supaku Account.

16. Miscellaneous

• Entire agreement. These Terms, together with any additional terms that apply to specific features of Supaku Account, form the entire agreement between you and Supaku regarding Supaku Account.
• Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
• No waiver. Supaku's failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
• Assignment. You may not assign or transfer these Terms or your Supaku Account without Supaku's prior written consent. Supaku may assign or transfer these Terms or Supaku Account in connection with a merger, acquisition, sale of assets, or by operation of law.
