These Supaku Account Terms of Service ("Terms") govern your access to and use of account.supaku.com and related sign in and identity services (together, "Supaku Account"). Supaku Account is operated by Supaku LLC ("Supaku", "we", "us", "our").
By creating or using a Supaku Account, you agree to be bound by these Terms.
Supaku Account provides authentication and single sign on for other Supaku products, including sites such as supaku.com, art.supaku.com, social.supaku.com, and future applications that integrate with Supaku Account (together, the "Supaku Services"). Your use of any Supaku Service is also subject to that service's own terms of use and policies.
You may use Supaku Account only if:

Supaku Account does not itself provide the underlying content or functionality of other Supaku Services. Those services may be subject to their own terms, policies, pricing, and usage limits.
If there is any conflict between these Terms and the terms of a specific Supaku Service, the terms of that Supaku Service will govern your use of that service.
You are responsible for all activity that occurs under your Supaku Account.

Supaku is not liable for any loss or damage arising from your failure to safeguard your account credentials.
If your Supaku Account is provisioned or linked by an organization (such as your employer) that signs an agreement with Supaku:
In the event of a conflict between these Terms and an agreement between Supaku and an organization, that agreement will govern to the extent of the conflict for accounts and use under that agreement.
You agree that you will not, and will not permit others to:
Supaku may suspend or terminate your access to Supaku Account if we reasonably believe you have violated these Terms, our policies, or applicable law.
Supaku Account may allow you to sign in using credentials from, or link your account to, third party identity providers or services.
If you choose to use or connect any third party service:
Your use of any third party service is solely between you and that third party.
Your use of Supaku Account is subject to the Supaku Account Privacy Policy, which explains how we collect, use, and share information related to Supaku Account.
By using Supaku Account, you acknowledge that we will handle information as described in that policy.
Supaku and its licensors own all right, title, and interest in and to Supaku Account and the Supaku Services, including all associated intellectual property rights.
Subject to your compliance with these Terms, Supaku grants you a limited, non exclusive, non transferable, revocable license to access and use Supaku Account solely to sign in to and manage your access to the Supaku Services.
You do not acquire any ownership interest in Supaku Account or the Supaku Services under these Terms.
If you send us comments, suggestions, or other feedback about Supaku Account or the Supaku Services ("Feedback"), you agree that Supaku may use the Feedback for any purpose without restriction or obligation to you, including to develop and improve our products and services.
You may stop using Supaku Account at any time. You may be able to close your account through account settings or by contacting us.
We may suspend or terminate your Supaku Account or your access to Supaku Account if:
We will attempt to give you advance notice where reasonably possible, but we may suspend or terminate immediately where we believe that is necessary to protect the security, integrity, or operation of Supaku Account or the Supaku Services.
On termination of your account, your right to use Supaku Account will immediately cease. Some obligations, such as those regarding ownership, disclaimers, limitation of liability, and indemnification, will survive termination.
Supaku Account and all related services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.
To the fullest extent permitted by law, Supaku disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non infringement, and any warranties arising out of course of dealing or usage of trade.
Supaku does not guarantee that Supaku Account or the Supaku Services will be uninterrupted, secure, or free from errors, viruses, or other harmful components.

The limitations in this section apply to any theory of liability, whether based on warranty, contract, statute, tort, or otherwise, and even if Supaku has been advised of the possibility of such damages, and even if any remedy set forth in these Terms is found to have failed its essential purpose.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Supaku and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to:
Supaku may assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.
These Terms and any dispute arising out of or relating to Supaku Account are governed by the laws of the State of New York and the United States, without regard to conflict of laws rules.
You and Supaku agree that the state and federal courts located in New York County, New York will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or Supaku Account, and you consent to the personal jurisdiction and venue of those courts.
We may modify or discontinue all or part of Supaku Account at any time, for any reason, subject to applicable law.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. If we make material changes, we will provide additional notice where required, which may include posting a notice in Supaku Account or sending you an email.
Your continued use of Supaku Account after the updated Terms become effective means that you accept the updated Terms. If you do not agree, you must stop using Supaku Account.
